HOW TO REGISTER A CASH LOAN OR FINANCIAL SERVICES COMPANY IN
NAMIBIA
COMPANY REGISTRATION PROCEDURES
Procedure to financial services company in Namibia require
NAMFISA approval.
CASH LOANS – FINANCIAL PLANNERS – INSURANCE BROKERS –
INSURANCE COMPANIES – INSURANCE AGENTS – BANKS – ASSET MANAGERS ETC….
Step I:
Submission of name
application/reservation form CM5 or CC8 for your organization, you should
ideally submit 6 Names in case the desired name has already been reserved the
your next preferred option will be attributed.
Step II
Once the name of your
organization is approved, you may apply for a Certificate of
Incorporation and Certificate to Commence Business. This requires the
submission of the several documents when incorporating a pty or limited company
including the following documents:
§ Memorandum and
article of Association in triplicate of forms
One original and two
photocopies that need to be notarized by a notary public
§ Copy of approved name
on CM5
§ Notice of postal and
registered address on CM22
§ List of Directors,
Auditors and public Officers on CM29
Information required
from the directors include: Certified copy of ID / Profession / Residential
address / business address – email address – postal address.
§ Appointment of an
Auditor on CM31
§ Application of
Certificate of Registration of memorandum of External Company CM46
For
A Close Corporation

Certified
copy of ID
·
Completion
of cc1 form
·
Consent
letter from the accountant
After
successful company registration
Once
a company is successfully registered we must also ensure compliance with the
requirements of other relevant institutions namely:
§ the Ministry of
Finance (registration for VAT and Company Tax)
§ the Ministry of
Labour
§ the Ministry of Home
Affairs (work permits, visas, etc.)
§ the Social Security
Commission
§ NAMFISA (for
Insurance, financial services companies)
§ Local Authority
by-laws such as those specified by the City of Windhoek, or local authorities
in Swakopmund, Walvis Bay, Keetmanshoop, Oshakati etc. (fitness certificates).
Various
permits and licenses may also be required depending on the type of business you
intent to operate.
FINALLY PROFESSIONAL ACCREDITATION OR MEMBERSHIP COULD
BE REQUIRED AS IS THE CASE FOR ACCOUNTANTS, ARCHITECTS ETC…
